Terms of sale

Quotations
A quotation states the model, quantity, unit price, incoterm, currency, validity period and estimated lead time. It is an offer, not a contract; the contract forms when we confirm the purchase order in writing.
Orders
Orders are confirmed against the part numbers stated in the confirmation. Where a customer's purchase order names a different model or a different quantity, the confirmation governs unless both parties agree otherwise in writing.
Prices and payment
Prices are exclusive of taxes, duties and destination charges unless the quotation states DDP. Payment terms are stated on the quotation; samples are normally paid in advance and production runs against a deposit and a balance against the shipping documents.
Delivery
Lead times are estimates given in good faith and start from order confirmation and receipt of any deposit. Risk passes according to the stated incoterm. Where a shipment is delayed by a cause outside our control, the delivery date is extended by the duration of the cause.
Warranty
Products carry a twelve-month warranty from shipment against manufacturing defects. The warranty covers repair or replacement of the defective unit and does not cover damage from installation, over-voltage, water ingress outside the stated IP rating, or modification.
Returns
Returns require a written authorisation and the original packaging. Units supplied correctly against a confirmed order are accepted for credit only where unopened and within the period stated on the quotation.
Liability
Liability is limited to the value of the goods supplied. We are not liable for lost production, lost profit or consequential damage. The customer is responsible for verifying that the product suits the machine and the destination market.
Governing law
These terms are governed by the laws of the People's Republic of China, with disputes referred to the competent court at the seller's place of business unless the contract states otherwise.
